Corporations Regulations amendments

Some minor amendments have been made to the Corporations Regulations to update Australian Standards references and to implement the intermediated general insurance business data collection regime. The government has also released draft regulations requiring a short form product disclosure statement for any registered managed investment scheme that invests at least 80% of its assets in financial assets and for all superannuation products. Supervision of financial markets

The government has released a consultation paper and draft legislation proposing reforms to the supervision of Australia's financial markets. If implemented, the proposals will facilitate ASIC's supervision of domestically licensed financial markets, create a new rule making power for ASIC and provide additional powers for ASIC to enforce these rules. Corporate reporting reforms

The government has also released draft reforms aimed at improving Australia's corporate reporting framework. The proposed reforms affect payment of dividends, reductions of capital, annual reporting requirements for listed registered schemes and protection of "solicitor representation letters". MIS and life insurance product rationalisation

APRA - policy - Basel II enhancements

APRA has released for consultation a discussion paper, accompanied by proposed amendments to relevant prudential standards and prudential practice guides, on proposals to enhance the Basel II Framework in Australia. The discussion paper can be found on the APRA website at:

ASIC - policy - corporate bond debt market

ASIC has released Consultation Paper 126 Facilitating Debt Raisings intended to assist with the development of a sustainable listed corporate bond market in Australia. It proposes relief from long form prospectus requirements, including a shorter prospectus for bond offers focused on the terms of the offer and the ability of the bond issuer to meet its interest and repayment obligations, and a two-part prospectus designed to provide successive bond offers offering greater flexibility and speed-to-market in making bond offers. ASX - listing rules - trading windows and blackout periods

ASX has released a consultation draft of proposed listing rules on trading windows and blackout periods. Under the proposals, ASX will require listed entities to adopt and disclose a trading policy on trading in entity securities by directors and other key management personnel, include restrictions and clearance procedures in the policy as to when trading can and cannot occur and publicly disclose whether any trading by directors occurred during an otherwise restricted period. Banking & Finance

A recent decision of the Supreme Court of New South Wales provides a timely reminder for lenders to monitor their relationships with third party brokers closely and be aware of how brokers present themselves to potential borrowers. The accepted position has been that brokers are the agent of the borrower, not the lender. Consequently, if the broker misrepresents the position to either or both parties, they do so as the borrower's agent not as the lender's. Taxation

The Commissioner of Taxation has released two important draft determinations dealing with the taxation of foreign private equity entities and the application of the general anti-avoidance provisions in Part IVA to treaty shopping structures. Treasury has also released exposure draft legislation allowing eligible managed investment trusts to make an irrevocable election to apply capital gains tax provisions as the primary code for taxing gains and losses on the disposal of certain assets - primarily shares, units and land. The draft legislation provides much needed certainty for investors and fund managers alike in the Australian financial services industry. 4. Cases

Corporations - tracing notice served on former member invalid

Perhaps confirming what should have been self-evident, in Re Murchison Holdings Ltd [2009] VSC 528, the Supreme Court of Victoria held that a primary tracing notice under section 672A(1)(a), and a secondary tracing notice under section 672A(1)(b), of the Corporations Act must relate to a current shareholding and cannot be given in relation to a former shareholding. It also held that a notice cannot be given under section 672A in relation to options. The decision can be viewed at:
